Modeleon Terms of Service

Effective: September 2, 2026

The short version: Modeleon is software for building and running financial models. You own your models and everything in them — we take only the license needed to run the service for you. Self-serve paid plans are billed through Paddle, our merchant of record. AI features can be wrong, so check their output before you rely on it. The service is provided as is, and these Terms limit our liability. By creating an account or using Modeleon, you agree to these Terms.

1. Who we are

Modeleon is operated by Modeleon LLP (ТОО «Modeleon»), a limited liability partnership registered in the Republic of Kazakhstan. When these Terms say "we", "us", or "Modeleon", that's who we mean. When they say "you", they mean the person or organization using the service. You can reach us at support@modeleon.ai.

2. The service

Modeleon is a financial model engineering platform, available at modeleon.ai and platform.modeleon.ai. You write and build financial models in a Python-based modeling language, run them, and work with the results in spreadsheet, code, notebook, and graph views, as well as in dashboards and app pages. You can export your models as Excel workbooks with live formulas. The service includes AI assistant features and API/MCP access that lets your own tools work with your models. These Terms cover all of it.

Modeleon is a modeling and planning tool. It is not investment, tax, accounting, legal, or financial advice, and it is not a regulated financial product or service in any jurisdiction. The models you build, and the decisions you make from them, are yours.

3. Your account

You need an account to use Modeleon. You must be at least 18 years old, provide accurate information when you sign up, and keep it accurate. If you create an account on behalf of a company or other organization, you confirm you have the authority to bind it to these Terms. On multi-seat plans, the account owner is responsible for the acts and omissions of the people they add, and for their compliance with these Terms.

Your account credentials — including any API tokens — are yours to protect. Anything done through your account or with your tokens counts as done by you. If you believe your account has been compromised, tell us at support@modeleon.ai right away.

Sanctions and export controls. The service depends on infrastructure and AI providers that are subject to export-control and sanctions laws. You represent that you are not located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions or embargoes; that you are not on any government denied-party or sanctions list; and that you will not use the service for any purpose prohibited by applicable export-control or sanctions law.

4. Plans, credits, and billing

Plans. Modeleon offers Free, Pro, Team, and Enterprise plans. Current prices, features, and limits — including AI credit allowances and storage quotas — are listed on our pricing page. The Free plan is really free: no credit card required. Enterprise plans are sold under a separate annual agreement. Any individually signed agreement with Modeleon LLP — an Enterprise agreement, or a direct agreement paid by invoice — prevails over these Terms to the extent of any conflict; these Terms continue to govern your use of the service itself.

AI credits. AI usage on Modeleon is counted in credits. Each plan includes a credit allowance for its billing period, as described on the pricing page. Allowances reset each period, and unused included credits do not roll over. Credits that have been consumed are non-refundable. Paid plans can add credits beyond their allowance in two ways: one-time credit top-ups — top-up credits don't expire (except where law requires an expiry), and an entirely unused top-up is refundable under our Refund Policy — and a recurring refill that raises your monthly allowance, where each refill charge is a renewal under our Refund Policy.

Limits. Plan limits — storage quotas, daily AI credit caps, API/MCP run limits — are enforced: we may throttle or suspend usage that exceeds them or that degrades the service for others.

Payment through Paddle. Our self-serve order process is conducted by our online reseller Paddle.com, which is the merchant of record for all self-serve orders. When you buy a subscription through our checkout, your purchase transaction — billing, renewals, invoicing, and applicable taxes — is with Paddle and governed by Paddle's Buyer Terms. The service itself is provided to you by Modeleon LLP under these Terms. Listed prices exclude tax; Paddle calculates and collects any applicable tax at checkout. For billing questions, you can go to Paddle directly or write to us at support@modeleon.ai — either way, we'll make sure it gets handled.

Renewals. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period. Except as provided in our Refund Policy or where required by law, payments are non-refundable.

Price changes. If we change the price of a plan you're on, we'll give you at least 30 days' notice by email before it affects you, and you can cancel before the new price takes effect.

5. Your models and content

You own your models. Everything you put into Modeleon — your models, code, data, notebooks, dashboards, and exported workbooks — remains yours. We claim no ownership rights in any of it. The only license you give us is the limited one in the next paragraph — we receive no implied licenses in your content beyond it.

Our limited license. You grant us a non-exclusive, worldwide, royalty-free license to access, process, store, transmit, run, and display your content, for the sole purpose of providing, operating, securing, and supporting the service — hosting your models, running them, showing you the results, backing them up. That's the whole purpose of the license, and it ends when your content is deleted.

We don't train on your content. We do not use your models or content to train AI models, and we use only AI providers whose commercial terms prohibit training on your content (see section 6).

Sharing is your choice. Your models are private by default. A model becomes visible to others only when you explicitly share it or make it public. If you do make content public, you're responsible for having the rights to do so.

Your responsibility. You confirm that you own or have the necessary rights to the content you upload, and that it doesn't infringe anyone else's rights or break any law.

6. AI features

Modeleon includes AI assistant features powered by large-language-model providers. We choose the models and providers behind these features and may change them as the service evolves — the current providers are listed in our Privacy Policy, and the list may include models we host on our own infrastructure. Whatever the model, one rule is constant: we use only providers and configurations whose commercial terms do not permit training on your content.

Your content goes to the AI only when you ask. Content from your models is sent to an AI provider only when you invoke an AI feature (or when your own tools do, through the API/MCP — see section 7). It is processed on our behalf under a commercial agreement that does not permit the provider to use your content to train its models.

AI output can be wrong. AI-generated output may be inaccurate, incomplete, misleading, or out of date — even when it looks confident and correct. You must independently verify AI output before relying on it, especially before using it in any business or financial decision. AI output is assistance, not advice.

You own the output. As between you and us, output generated with AI assistance in your models belongs to you. We assign to you all of our right, title, and interest — if any — in that output.

7. API and MCP access

Modeleon provides API and MCP access so that your own tools — including your own AI tools — can read, write, and run your models.

  • API tokens are credentials. Keep them secret and rotate them if they leak.
  • Actions taken through your tokens, including by AI tools you connect, count as your actions under these Terms.
  • API/MCP usage is subject to your plan's limits (for example, a daily model-run limit on the Free plan). We may throttle or suspend usage that exceeds limits or threatens the service — we'll try to warn you first, but may act without notice if the service is at risk.
  • We are not responsible for third-party tools you connect via the API/MCP, or for what they do with your models on your instructions.

8. Acceptable use

Use Modeleon lawfully and don't wreck it for others. You must not:

  • break the law, or use the service to infringe anyone's rights;
  • upload malware, or probe, disrupt, overload, or interfere with the service or other users' accounts;
  • attempt to access accounts, models, or data that aren't yours;
  • bypass plan limits, metering, or security protections;
  • reverse engineer the platform's non-public software, or copy non-public platform code, interfaces, or design to build a competing service — nothing in this bullet restricts any rights granted to you by the open-source license covering the Modeleon engine;
  • resell access to the service without our agreement;
  • access the service by automated means other than the documented API/MCP with your own tokens.

We may remove content or suspend accounts that violate this section. We'll give notice where practicable.

9. Our intellectual property

The Modeleon platform — the software, the engine, the interface, our documentation, and our branding — belongs to Modeleon LLP and its licensors. These Terms give you the right to use the service; they don't transfer any ownership of it to you. The open-source Modeleon engine is separately available under its own open-source license, which governs that code; nothing in these Terms narrows the rights that license grants you.

If you send us feedback or suggestions, we may use them freely, without obligation or payment. We appreciate them.

10. Availability and changes to the service

We work to keep Modeleon reliable, but we do not guarantee uninterrupted availability and we do not currently offer a service-level agreement or uptime commitment. The service depends on third-party providers — hosting and AI infrastructure among them — and occasional disruptions or maintenance downtime will happen.

Modeleon is an evolving product. We add features, fix bugs, and change how things work; some features may be labeled beta or experimental and may change or be withdrawn. Like any software, Modeleon has bugs — we fix the ones we find, but we don't promise an error-free service. If we ever discontinue the service as a whole, we'll give you reasonable notice and time to export your data.

11. Term and termination

You can leave at any time. You may cancel your account whenever you want. Before you go, you can export your work — your model code and Excel workbooks. After cancellation, your content becomes inaccessible and is deleted from our live systems within 30 days; residual copies in backups are purged within 90 days. After that, it cannot be recovered.

We can terminate too. We may suspend or terminate your account for violation of these Terms, non-payment, abuse of the service or our team, or use that exposes us or others to harm or legal liability. We'll give reasonable notice when possible; for serious abuse we may act immediately.

What survives. Sections that by their nature should survive — ownership, disclaimers, limitation of liability, governing law — survive termination. Fees already owed for the service remain owed, whether payable to us directly or to Paddle as our merchant of record.

12. Disclaimers

The service is provided "as is" and "as available", at your sole risk. We're an early-stage company and we're honest about what that means: we offer no SLA, no uptime percentage, and no compliance certifications.

Plain English before the formal part: we can't guarantee the service will be error-free, always available, or that AI output or computed results will be correct — your models compute what your formulas and inputs say, and checking them is your job. The formal version, in the capitals courts expect:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT — INCLUDING AI-GENERATED OUTPUT AND COMPUTED MODEL RESULTS — WILL BE ACCURATE OR RELIABLE. FACTUAL ASSERTIONS IN AI OUTPUT MAY BE FALSE, INCOMPLETE, MISLEADING, OR NOT REFLECTIVE OF RECENT EVENTS, AND MUST NOT BE RELIED UPON WITHOUT INDEPENDENT VERIFICATION. NOTHING IN THE SERVICE IS INVESTMENT, TAX, ACCOUNTING, LEGAL, OR FINANCIAL ADVICE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS YOU PAID FOR THE SERVICE — WHETHER PAID TO US DIRECTLY OR THROUGH PADDLE AS OUR MERCHANT OF RECORD — IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY, AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. YOUR OBLIGATION TO PAY FOR THE SERVICE — WHETHER TO US OR TO OUR MERCHANT OF RECORD — IS NOT LIMITED BY THIS SECTION.

In other words: using Modeleon at this stage means placing some trust in us. We work hard to deserve it, but if something goes wrong, the most you can recover from us is what you paid for the service in the past year.

14. Indemnity

If your content, your use of the service in violation of these Terms, or your violation of law causes a third party to bring a claim against us, you agree to cover the reasonable costs and damages arising from that claim. We'll notify you of any such claim and cooperate reasonably.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Kazakhstan. Any dispute arising out of or relating to these Terms or the service that we can't resolve informally will be submitted to the exclusive jurisdiction of the courts of the Republic of Kazakhstan.

If we have a dispute, let's talk first: write to support@modeleon.ai and we'll try to resolve it informally within 30 days before either of us takes formal steps.

Nothing in this section limits mandatory consumer protections you have under the laws of the place where you live, including any right you may have to bring or defend a claim in the courts of your home jurisdiction where that right cannot be waived.

16. Changes to these Terms

We may update these Terms. When we make a material change, we'll refresh the effective date at the top and notify account holders by email before it takes effect. Continuing to use the service after that means you accept the updated Terms. Previous versions are available on request. Routine product changes (section 10) are not changes to these Terms.

17. General

These Terms, together with our Privacy Policy and Refund Policy (and, for Enterprise customers, the applicable enterprise agreement), are the entire agreement between you and Modeleon LLP about the service. If any provision is unenforceable, the rest remain in effect. Our not enforcing a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of the business. Neither party is liable for delay or failure caused by events beyond its reasonable control.
